ART COMMISSION AGREEMENT

This Art Commission Agreement (hereinafter "Agreement"), is made effective as of ________ by and between the following parties:

and Liberty Forbes-Lane, hereinafter referred to as "Artist", Email: libertysstudio@gmail.com

SECTION 1 - SCOPE

This Agreement sets forth the terms and conditions whereby Artist agrees to create a work of art (the "Work"), as described below, for the Client. Client has commissioned the Work.

Artists will be engaged solely and exclusively for the limited purpose of creating the Work for the Client.

SECTION 2 - GENERAL TERMS

Artist has the right to reject any Work request for any reason.

SECTION 3 - THE WORK

The Work being commissioned for Artist to create through this Agreement is as follows:

Artist agrees to create the Work with the highest quality and care. Artist represents and warrants that Artist has the knowledge, skills, and experience necessary to produce the Work. Artist agrees that the Work will be original. Artist also guarantees that the final Work will be free from any plagiarism or likeness to a Work not belonging to or created by Artist.

Client acknowledges the Work will develop with its progress and the finished Work may look different to the agreed idea and approved underpainting.

SECTION 4 - COPYRIGHT & USAGE

Artist

Artist reserves the right to cancel and refund the Work at any time for any reason.

Artist hereby represents and warrants that Artist is the exclusive holder of any and all rights in and to the Work and that such rights may be assigned herein. Artist represents that no other individual or entity may claim any rights, title and/or interest in and to said Work.

Artist will NOT profit further from the Work, such as, but not limited to, prints, unless Artist obtains written agreement from the Client to do so, or if Client break any of the terms.

Artist reserves the right to use the Work in Artist’s marketing and promotional content. Such as, but not limited to, website, portfolio, and social channels. Client may request Artist to not use the Work in Artist’s marketing and promotional content but Artist holds the right to reject this request for any reason or may send a written agreement.

Client

Client may upload the Work on any website and social channels.

Client may NOT make profits from the Work (reselling, redistributing, uploading to POD-services, making prints for selling, etc.)

Client may NOT alter the Work without Artist’s consent.

Client may NOT use the Work for commercial purposes.

The following is considered copyright infringement:

Reproducing/using the copyrighted Work commercially - means making money off it in any way not excluded from these terms.

Claiming the Work as your own.

Altering the Work without Artist’s consent.

SECTION 5 - PAYMENT

The currency accepted is GBP and can be paid through PayPal.

Payment for the Work can be paid from the Client to the Artist either 100% upfront or split 50% upfront and 50% after Client approves the underpainting.

Prices are subject to change and under certain circumstances Artist may request further payment from Client at any point in the process provided the Artist provides valid reasoning and evidence for such request.

SECTION 6 - REVISIONS

If Client requests Artist to change a part of the Work Client has previously approved, Client is required to pay an additional fee on top of the original agreed total payment. The value of this fee depends on the change the Client is requesting and is usually based on an hourly wage for the Artist.

SECTION 7 - CANCELLATION & REFUND POLICY

Client is not entitled to any value of refund once the Artist has started any part of the Work, including the prepping of the canvas/wood panel, the sketch, and the underpainting.

If the Client cancels the Work before the Artist has started working on it, the Client is entitled to a full refund.

If for any reason the Artist is unable to start the Work, the Client will receive a full refund.

SECTION 8 - INDEMNIFICATION

Client shall defend, indemnify, and hold Artist harmless from and against all losses, damages, liabilities, deficiencies, actions, judgments, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys' fees) arising out of or resulting from Client's acts or omissions or the breach of any representation, warranty, or obligation under this Agreement.

SECTION 9 - SURVIVAL

Any provision of this Agreement, which by its terms imposes continuing obligations on either of the Parties shall survive termination of this Agreement.

SECTION 10 - GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

SECTION 11 - BENEFIT

This Agreement shall be binding upon and shall inure to the benefit of each of the parties hereto, and to their respective heirs, representatives, successors, and assigns.

SECTION 12 - COUNTERPARTS

This Agreement may be executed in counterparts, all of which shall constitute a single agreement.

SECTION 13 - NOTICES

All notices, requests, consents, claims, demands, waivers, and other communications hereunder (each, a "Notice") shall be in writing and addressed to the Parties at the addresses set forth on the first page of this Agreement. All notices shall be delivered by email or at the address which the parties may designate to each other through personal delivery, nationally recognized overnight courier (with all fees pre-paid), or certified or registered mail (in each case, return receipt requested, postage pre-paid). Except as otherwise provided in this Agreement, a Notice is effective only if (a) the receiving party has received the Notice and (b) the party giving the Notice has complied with the requirements of this Section.

SECTION 14 - FORCE MAJEURE

Artist is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.

SECTIONS 15 - HEADINGS

Headings to this Agreement are for convenience only. Headings shall in no way affect the provisions themselves and shall not be construed in any way that would limit or otherwise affect the terms of this Agreement.

SECTION 16 - ENTIRE AGREEMENT; MODIFICATION

This Agreement embodies the entire agreement between the Client and Artist relating to the subject matter hereof. This Agreement may be changed, modified, or discharged only if agreed to in writing by both parties.
